1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and August Aisles LLC, doing business as AccessRx ("ASRX," "we," "us," or "our"), governing your access to and use of the ASRX platform located at asrx.health, including all related websites, mobile features, and services (collectively, the "Platform").

By accessing or using the Platform in any way — including browsing, creating an account, completing an intake form, or purchasing a subscription — you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not use the Platform.

These Terms supersede all prior agreements and understandings between you and ASRX relating to the Platform.

2. Platform Description

ASRX is a healthcare access and coordination platform. Our role is to facilitate connections between individuals seeking healthcare and independently licensed physicians and other licensed healthcare providers who offer telehealth consultations through our partner provider network. ASRX also coordinates the dispensing of compounded medications through licensed compounding pharmacies where a prescription has been issued by an independent provider.

ASRX is not a licensed medical provider, hospital, clinic, or healthcare system. We do not employ physicians, nurse practitioners, or other licensed clinicians, and we do not practice medicine, nursing, or any other licensed healthcare profession. The Platform is a technology and coordination service only.

All clinical decisions — including whether to prescribe any medication, the type and dosage of any medication, and whether to continue or discontinue treatment — are made solely by independently licensed physicians and providers in your state. ASRX has no authority over and does not supervise or control the clinical judgment of any provider.

In a medical emergency, call 911 or go to your nearest emergency room immediately. The Platform is not designed for emergency medical care.

3. Eligibility

To use the ASRX Platform, you must meet all of the following requirements:

• You must be at least 18 years of age at the time of registration and throughout your use of the Platform.
• You must be a legal resident of the United States and located within a state where our partner provider network operates. ASRX's telehealth services are currently available in all 50 states, subject to applicable state laws and provider availability.
• You must have the legal capacity to enter into a binding contract under applicable law.
• You must not be prohibited from using the Platform under any applicable laws or regulations.
• You must provide accurate, complete, and truthful information during registration and throughout all health intake forms and interactions on the Platform.

ASRX reserves the right to deny access to, suspend, or terminate the account of any user at its sole discretion, including for failure to meet eligibility requirements, provision of false information, or any other reason consistent with applicable law.

4. Medical Disclaimer

THE ASRX PLATFORM DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. All content on this Platform, including text, graphics, images, and information, is for general informational and coordination purposes only and is not a substitute for professional medical advice, diagnosis, or treatment from a licensed healthcare provider.

No Provider-Patient Relationship with ASRX: Your use of the Platform does not create a provider-patient relationship between you and ASRX or any of its officers, employees, or affiliates. Any provider-patient relationship exists solely between you and the independently licensed physician or provider who evaluates you through the partner telehealth network.

Independent licensed providers exercise their own independent clinical judgment when evaluating your health intake information and determining whether to prescribe any medication or protocol. A provider consultation through our network does not guarantee that any prescription will be issued. Prescriptions are issued only when the provider, in their sole professional judgment, determines it is clinically appropriate.

Always seek the advice of your physician or other qualified healthcare professional with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay seeking it because of something you have read or accessed on this Platform.

5. Compounded Medications Disclosure

The ASRX Platform coordinates access to compounded medications — custom pharmaceutical preparations made by licensed compounding pharmacies pursuant to a valid prescription from an independently licensed physician. You must understand the following before proceeding:

• Compounded medications are not FDA-approved drugs. They have not been reviewed, evaluated, or approved by the U.S. Food and Drug Administration (FDA) for safety, effectiveness, or quality. FDA approval status applies to commercially manufactured drugs, not to individually compounded preparations.
• Compounded medications are prepared by licensed compounding pharmacies regulated by state boards of pharmacy and, in certain cases, the FDA (for outsourcing facilities). All pharmacy partners used by ASRX are licensed in the states in which they operate.
• All compounded medications dispensed through the ASRX network require a valid prescription from a licensed provider. The prescribing provider retains sole authority over all prescribing decisions.
• Compounded medications may carry risks that differ from those of commercially manufactured products, including potential variations in potency or sterility. Your prescribing provider will discuss risks with you as part of the clinical consultation.
• ASRX does not manufacture, compound, or dispense any medications. All dispensing is performed by independent, licensed compounding pharmacies.
• The availability of specific compounds is subject to change based on FDA guidance, pharmacy capacity, and applicable law.

6. Subscription & Payment Terms

Access to the ASRX Platform requires a paid subscription. By enrolling, you agree to the following:

• Billing Cycle: Subscriptions are billed on a monthly basis. Your billing cycle begins on the date of your initial enrollment and renews automatically each month on the same calendar date.
• Pricing: Current pricing for your selected plan is displayed at checkout and confirmed prior to your first charge. ASRX reserves the right to modify subscription pricing with at least 30 days' advance written notice to your registered email address.
• Automatic Renewal: Your subscription will automatically renew each month unless you cancel before the next billing date. By enrolling, you authorize ASRX to charge your payment method on file for each renewal.
• Cancellation: You may cancel your subscription at any time through your account settings or by contacting hello@asrx.health. Cancellation takes effect at the end of your current billing cycle. You will retain access to the Platform through the end of the paid period.
• Refund Policy: ASRX does not offer refunds for partial months of Platform access. No refunds are issued for medications that have already been dispensed, shipped, or delivered. Refund requests for other circumstances will be evaluated on a case-by-case basis at ASRX's sole discretion. This policy does not affect any rights you may have under applicable consumer protection laws.
• Direct-Pay: ASRX is a direct-pay platform. We do not accept insurance, Medicare, or Medicaid. All fees are the sole responsibility of the subscriber. Amounts paid through ASRX are generally not reimbursable by insurance; however, certain expenses may be eligible for Health Savings Account (HSA) or Flexible Spending Account (FSA) reimbursement — consult your plan administrator.
• Failed Payments: If your payment fails, we will attempt to notify you by email. If payment is not resolved within a reasonable period, your account may be suspended and your prescriptions may not be fulfilled until payment is brought current.

7. Privacy & HIPAA

Your use of the ASRX Platform involves the collection, use, and sharing of personal information, including Protected Health Information (PHI) as defined under the Health Insurance Portability and Accountability Act of 1996 (HIPAA). ASRX operates in compliance with applicable HIPAA requirements in its capacity as a business associate of covered healthcare providers.

Our full Privacy Policy and HIPAA Notice of Privacy Practices are available at asrx.health/privacy and are incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.

ASRX does not sell your personal information or PHI to third parties. PHI is shared only with your treating provider and the licensed compounding pharmacy fulfilling your prescription, as necessary to provide the healthcare coordination services you have requested.

8. User Responsibilities

By using the ASRX Platform, you agree to the following:

• Accurate Information: You will provide truthful, complete, and accurate information during registration, health intake, and all subsequent interactions on the Platform. Providing false or misleading health information may result in harm and is grounds for immediate account termination.
• Account Security: You are responsible for maintaining the confidentiality of your account login credentials. You agree to notify ASRX immediately at hello@asrx.health if you suspect unauthorized access to your account. You are responsible for all activity that occurs under your account.
• Compliance with Provider Guidance: You agree to follow the guidance of your assigned healthcare provider and to promptly notify your provider of any adverse reactions, changes in health status, or new medications or supplements you begin taking.
• No Sharing: Your account and any medications prescribed are for your personal use only. You may not share, sell, transfer, or distribute any prescription medications obtained through the Platform.
• Lawful Use: You agree to use the Platform only for lawful purposes and in accordance with these Terms.
• Updates: You agree to keep your account information, including contact and payment details, current and accurate at all times.

9. Prohibited Uses

You agree that you will NOT use the ASRX Platform to:

• Provide false, misleading, or fraudulent health information to obtain a prescription.
• Obtain medications for any person other than yourself.
• Resell, redistribute, or transfer any medications or platform access to any third party.
• Engage in any activity that violates federal, state, or local law, including the Controlled Substances Act or applicable pharmacy laws.
• Attempt to reverse-engineer, scrape, hack, or otherwise tamper with the Platform or its underlying technology.
• Harass, threaten, or abuse any ASRX employee, contractor, provider, or other user.
• Upload or transmit any malware, viruses, or malicious code to the Platform.
• Circumvent any security, authentication, or access control features of the Platform.
• Use the Platform to advertise or solicit business for any third party without prior written consent from ASRX.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

Violation of these prohibited uses may result in immediate account termination and may be reported to law enforcement.

10. Intellectual Property

All content on the ASRX Platform — including but not limited to text, copy, graphics, logos, icons, images, audio, video, software, page layout, and design — is owned by or licensed to August Aisles LLC and is protected by applicable copyright, trademark, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal, non-commercial use in accordance with these Terms. This license does not include any right to:

• Reproduce, distribute, publicly display, or create derivative works of any Platform content;
• Use any ASRX trademarks, logos, or trade names without prior written permission;
• Use automated tools to scrape, crawl, or extract content from the Platform;
• Remove any copyright, trademark, or proprietary rights notices from Platform content.

Any feedback, suggestions, or ideas you submit to ASRX regarding the Platform may be used by us without restriction or compensation to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

THE ASRX PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF INFORMATION.

ASRX DOES NOT GUARANTEE SPECIFIC HEALTH OUTCOMES. RESULTS VARY BY INDIVIDUAL AND DEPEND ON CLINICAL EVALUATION AND INDIVIDUAL PHYSIOLOGY. CLINICAL DECISIONS ARE MADE SOLELY BY INDEPENDENT LICENSED PROVIDERS AND ARE NOT WITHIN ASRX'S CONTROL.

IN NO EVENT SHALL AUGUST AISLES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT LIABILITY CANNOT BE EXCLUDED, ASRX'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO ASRX IN THE NINETY (90) DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless August Aisles LLC and its officers, directors, employees, agents, partners, licensors, and affiliates (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of or access to the Platform;
• Your violation of any provision of these Terms;
• Your violation of any applicable law, regulation, or third-party right;
• Any false, inaccurate, or misleading information you provided on the Platform;
• Your misuse of any medication obtained through the Platform.

ASRX reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with ASRX in asserting available defenses.

13. Governing Law & Dispute Resolution

These Terms and any disputes arising out of or relating to the Platform shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

Informal Resolution: Before initiating any formal legal proceeding, you agree to contact ASRX at hello@asrx.health to attempt to resolve the dispute informally. ASRX will make good-faith efforts to resolve the dispute within 30 days.

Binding Arbitration: If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform (excluding claims for injunctive or other equitable relief) shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are available at adr.org. The arbitration shall take place in Harris County, Texas, or remotely as agreed by the parties.

Class Action Waiver: YOU AND ASRX AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

If the arbitration agreement is found unenforceable, any litigation shall be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of such courts.

14. Changes to These Terms

ASRX reserves the right to modify these Terms at any time. When we make material changes, we will provide notice via email to your registered email address and/or a prominent notice on the Platform at least 14 days before the changes take effect. Non-material changes may take effect immediately.

Your continued use of the Platform after the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform and cancel your subscription before the effective date of the changes.
